CIVIL PROCEEDINGS PERMANENT INJUNCTION ENTERED AGAINST GARY-C. GRANAI The Boston° Regional Office announced that on November 5 the U.S. District Court for the District of Connecticut entered a Final Judgment of Permanent Injunction against Gary C. Granai of East Lyme, Connecticut. The Judgment enjoins Granai from further violations of the antifraud provisions of the securities laws. Granai consented to the Injunction without admitting or denying the allegations of the compl~int. The March 14 complaint alleges, among other things, that Granai, an attorney, participated in the fraudulent closing of a best efforts, -mani-maxi-o' securities offering of The Electronics Warehouse, Inc. by substituting lenders for bona fide purchasers in order to make it appear that the minimum amount had been raised. For his effort, Granai received legal fees in the amount of $85,000 from Warehouse. Warehouse, Warehouse's preSident, Edward W. Bremer, and Donald E. Ehrlich previously consented to the injunctions against them. The remaining defendants include the underwriter, Gallagher & Co., and its principals, the underwriter's counsel, William A. Calvo, III, and two lenders, Marvin T. Richmond and Norman W. Stern. (SEC v. The Electronics Warehouse, Inc., et al., OCT 1986, Civil Action No. 86-282 PCD). (LR-1l296) GARY B. WOLFF ENJOINED IN REGULATION A OFFERING CASE The New York Regional Office announced that on November 17 Judge Thomas P. Griesa, U.S. District Court, Southern District of New York, ordered Gary G. Wolff enjoined from violations of the registration provisions of the Securities Act ofo 1933 and the antifraud provisions of the Securities Act and the Securities Exchange Act of 1934. Wolff consented to the permanent injunction without admitting or denying the allega tions in the Commission's April 12, 1983 complaint. The complaint, naming ten defendants, alleged violations of the registration and antifraud provisions of the securities laws in connection with the 1980 Regulation A Offering of Sundance Gold Mining & Exploration, Inc. securities. The complaint alleges that Wolff, a New York attorney, participated in the non-exempt Sundance offering as Sundance's counsel and as a Sundance director, that he also prepared the misleading Sundance offering circular and Regulation A notification, and later participated in disseminating false and misleading information about Sundance'S gold mining interests. The action is pending against Amfco Securities Inc. and Alan Scop. Quinn, et al., 83 Civ. 2794, SDNY, TPG). (LR-11297)

(Partnership), a limited partnership, and its general partner, 551 Partners, L.P., exempting the Partnership from all provisions of the Investment Company Act. (ReI. HOLDING COMPANY ACT RELEASES MIDDLE SOUTH UTILITIES, INC.; THE CONNECTICUT LIGHT AND POWER COMPANY Notices have been issued giving interested persons until December 15 to request a hearing on a proposal by the following companies filed under Release 35-24243, dated November 20: Middle South Utilities, Inc. - a registered holding company, and its subsidiaries, Middle South Services, Inc., System Fuels, Inc., System Energy Resources Inc., Arkansas Power & Light Company, Louisiana Power & Light Company, Mississippi Power & Light Company, and New Orleans Public Service Inc., to continue a system money pool and to sell short-term notes to banks and to commercial paper dealers from time to time through December 31, 1988; and to issue and sell unsecured promissory notes in the aggregate principal amount of $60 million outstanding at anyone time; and The Connecticut Light and Power Company (CL&P) - subsidiary of Northeast Utilities, related to the fInancing of certain pollution control facilities at Seabrook, New Hampshire. The Industrial Development Authority of the State of New Hampshire (Issuer) intends to issue pollution control revenue bonds (Bonds) in an aggregate prinCipal amount not exceeding $25 million. The Bonds will be issued under an Inden ture of Trust between the Issuer and a trustee. The Issuer will lend the proceeeds of the Bonds to CL&P under a loan agreement. CL&P has requested an exception from the competitive bidding requirements of Rule 50, under Rule 50(a) (5).
