Executive Biographies Dwayne Clark, Chairman and CEO Dwayne J. Clark is the founder and chief executive officer of Áegis Living. With more than 28 years of senior housing experience, he has been involved in the development, construction and/or management of over 200 senior housing projects. He studied business models from companies known for world-class innovation and customer service, such as Costco, Starbucks, Disney and Four Seasons. He is never satisfied with the traditional care offered by most senior housing companies, but rather relentlessly pursues treatments and global therapies, both Eastern and Western, to bring the best care and a holistic approach for our residents’ mind, body and spirit. Dwayne’s drive for excellence in senior care is personal. His mother became a resident at one of his communities in her advanced stages of Alzheimer’s. He chronicled his journey in a book called My Mother, My Son. Dwayne understands the cruelty of this disease and has applied his personal experiences and passion to Áegis Living’s highly successful memory care programs. Beyond his professional experience, Dwayne has dedicated the second half of his life to charitable causes that are close to his heart. Dwayne has created his own not-for-profit organization, the Potato Soup Foundation that serves the needs of Áegis Living staff and their families during times of crisis. And over the next two years, Dwayne has committed to raising funds to build The Lotus House, a partnership with the Somaly Mam Foundation to build a safe home for children in Cambodia who are victims of sex slavery. Published over 100 times, Dwayne is a prolific writer. He has written two books, maintains a blog, contributes to the Huffington Post, is working on a children’s book, and most recently written a play. He has been able to meld his creativity with charity by donating the proceeds from his writing and creative ventures to causes dear to him. David Ford, Vice Chairman David Ford is Aegis’s Vice Chairman. He is an advisor to, and investor in, businesses ranging from start-ups to privately held industry leaders. David has also served as the COO and General Counsel of a government-contracting firm that provided IT consulting services to defense and other federal agencies. For the first two decades of his professional life, David was an attorney in private practice in Washington, D.C., where he specialized in mergers and acquisitions in the healthcare, technology and government-contracting industries. He is a member of the Executive Board of the American Seniors Housing Association and the Owner/Operator Advisory Board of the National Investment Conference for Seniors Housing, and is a founder of Kalorama Village, Inc., a non-profit organization dedicated to helping seniors "age in place." He is a graduate of Rollins College and the University of Virginia, School of Law and is a member of the District of Columbia Bar.

Jerry Meyer, President and Chief Operating Officer Jerry Meyer is a member of the Board of Directors and is the President and Chief Operating Officer of Áegis Living and is responsible for all operations of the Áegis Living communities. Prior to joining Áegis Living, Jerry was the President, Founder, and CEO of SunBridge, Inc., a senior housing company. During his tenure, he successfully secured new construction project financing and was responsible for developing the business plans, pro formas and budgets for a 42-building rollout. Prior to his work at SunBridge, Jerry was the Vice President and CEO for the Assisted Living Division of Manor Care, Inc., where he grew revenues from zero to $60 million in two years. With experience in senior housing projects in Spain, Germany, Mexico, and the UK, Jerry brings an indepth awareness of international trends in senior housing. Jerry was also CEO of the Senior Living Division of Advantage Health Management Corporation, where he was concurrently responsible for successfully developing and operating the company’s hotel properties. His hospitality industry experience includes work for Doubletree as well as ownership and management of restaurants in Missouri and Connecticut. To enhance education and training opportunities in the area of senior housing, Jerry has taught industryrelated classes at Johns Hopkins and USC. In 2009 he was one of the founders, and is currently a visiting lecturer, in an ongoing, senior-level class at Washington State University in the Hospitality Management program within the business school. Jerry served on the board and was the President of FareStart, a culinary job training program for homeless and disadvantaged individuals. He has served on the board of the Seattle Chinatown International District Preservation and Development Authority and was in an advisory capacity to its Senior Services Committee. He also serves as the Secretary/Treasurer of the Escala Home Owners Association. For 11 years Jerry was a Sierra Club National Service Outing leader--guiding volunteer groups in protecting archaeological sites in the American Southwest. He is an avid history buff, traveler and fan of classical and jazz music. Jerry holds two Bachelors’ degrees from the University of Missouri – Kansas City and a Masters’ in City and Regional Planning from The Ohio State University.

David Eskenazy, Chief Financial Officer David spearheads Áegis’s financial management and planning responsibilities. His business and financial experience spans 25 years and highlights an impressive history of fiscal planning and management expertise. Prior to joining Áegis, he spent 20 years in the hotel development and management business serving in a variety of roles, including controller, Chief Investment Officer, Executive Vice President and Chief Operating Officer at R.C. Hedreen Co. He also served as the Chief Investment Officer and Chief Operating Officer for Investco Financial Corporation, a real estate holding and management company operating primarily in the Puget Sound Region. Since 2000 he has served on the Board of Directors of Coinstar, Inc., where he is currently the Chairman of the Audit and Finance Committees. He is also a member of the board of directors for the Pacific Northwest Chapter of the National Association of Corporate Directors. Dave is a CPA (inactive). He is a graduate of the University of Nevada, Reno.

Judy Meleliat, Chief Marketing Officer Judy Meleliat is the Chief Marketing Officer at Áegis and is responsible for the sales and marketing efforts at the company's senior living communities. Her vast experience includes overseeing marketing for all of Starbucks as its Senior Vice President of Marketing. In that leadership role, she directed Starbucks’ corporate brand strategy and product brand positioning. Judy led its first-ever integrated, domestic advertising campaign to improve brand awareness, and executed Starbucks European marketentry strategy. Judy spent a number of years in charge of sales and marketing for Egghead Discount Software as well as other technology focused businesses. Recently she held the role of Chief Marketing Officer for In Spa. Judy serves as an Advisory Board member for FareStart and is a new member of the Western and Central Washington State Chapter of the Alzheimer’s Association’s, Regional Advisory Council for King County. She holds a Bachelor of Science from the University of Illinois, Champaign-Urbana, Illinois. Dr. Shirley Newell, Chief Wellness Officer Dr. Shirley Newell is Áegis Living’s first Chief Wellness Officer and Medical Director. She comes to Áegis with over 30 years of health care experience and has been selected to fill a key leadership role in insuring quality in resident care programs, as well as to help implement wellness practices and state of the art programming. She is an integral part of the executive steering committee and she will oversee healthcare staff. Dr. Newell is a native New Mexican who has lived in the Seattle since 1985. She received her B.A. from Occidental College, in Los Angeles, CA. She attended graduate and medical school at the University of New Mexico, in Albuquerque. She completed her residency in Internal Medicine at the University of Oregon in Portland, OR and well as her Geriatric fellowship and is boarded in both. She has practiced Geriatrics and Internal Medicine in private practice, at Medalia, and the University of Washington Primary Care Clinics. In addition her background included experience in psychiatry, urgent and tertiary care, as well as research. Additionally, she has worked in a number of skilled nursing facilities as staff and in leadership roles. Most recently she served as Medical Director at Symetra, where she became boarded in Insurance Medicine. Dr. Newell is married to Dr. David Newell, a neurosurgeon, and has two college age daughters. She and her family enjoy the recreational opportunities in the Northwest as well as a multiple hobbies, including traveling, cooking, reading and Pilates. Rick Karnofski, Senior Vice-President, Human Resources Rick Karnofski is the Senior Vice President, Human Resources, at Áegis and is responsible for recruiting, employee relations, benefits and compensation for all Áegis communities. Rick has 25 years of experience in human resources, with diverse experience in the medical device, pharmaceutical, telecommunications and other high-tech industries. Throughout his career, Rick’s focus has been on attracting top-level management talent to corporate teams, including those of Physio Control Corporation, NeoPath, nLight Photonics, Microvision and Nastech Pharmaceutical. He was instrumental in developing their cultural identities and the human

resources practices necessary for their development into successful companies. Rick received his Bachelor of Arts degree in Business Administration and Psychology from Central Methodist College.
