GEM - Grace Entertainment Media EXECUTIVE SUMMARY 2013 1) The OPPORTUNITY The media offers our families gratuitous violence, porn, cop killing, profanity and obscenity. GEM offers you an entertainment Web Hub instead, filtered of objectionable content. We expect it to become the most prominent entertainment Super Site targeting the largest demographic group in the world – Christians and others who want to safeguard their families. This group includes one third of the world (2.2 billion people) and 75% of all Americans. Media, the most popular entertainment in the world will draw them to GEM, generating plentiful profits through advertising, affiliate partnerships, premium services, etc. We want to make GEM a dynamic “Platform as a Service” (PaaS) that spins off plentiful passive income. 2) The Product/Solution GEM will create the most comprehensive source for Christian entertainment, products, services and more using a vast variety of television and radio channels, movies, music, videoand music-on-demand, worship, social networking, web searching, and a vast variety of product offerings. Our Facebook will be “Gracebook”, our ITunes “HeTunes”, our Netflix “GEMFlix” and our Amazon simply “Amazing.” Our Google will be “GEMinEye” and our American Idol “American Angels”. All content, products and services will be sanitized of offensive material. Example: BET, the Black Entertainment Network built a multibillion dollar media empire using existing media without creating costly content. Great Christian programming exists. One film source for GEM has over 1,400 Christian movies. GEM will offer GodTube, the Worship Channel and the 168 Film Festival a place to offer their products and services in one vast media supermarket that is globally accessible 24/7. Media is transitioning to the Internet. GEM offers Christian media the same opportunity to impact the world for good. A few years ago this would have required billions of dollars. The Internet and Cloud Technology have changed that. We can build now a whole TV channel for $14,000. We will offer a wide spectrum of TV from talk shows to movies, news, children’s programming, sports and comedy. GEM will have both premium and advertising supported Movie Channels, News, Talk Shows, Sports, Comedy Channels, Children’s Channels and a free Compassion Network, where innovative people who help the hurting and needy will be given free air time. GEM expects that major corporations like Toyota, BP and Wal-Mart will be delighted to finally be able to reach our gigantic global niche. GEM’s cloud platform will be designed and built with the most powerful robust content management systems available, with the same flexibility found in Facebook, Amazon, Google, ITunes, and other massive world-class Internet systems. 3) Competition There is currently no relevant competition for GEM. Of the top 25 Christian web sites, most are driven by doctrine, personalities, institutions or religious products. No one has brought all things Christian to one place on the Web, let alone provided a space where all media can be enjoyed. With the caliber of people and the head start GEM has it should prove difficult for any future competing source to catch up. This vast vertical affinity group encompasses the largest religion in the world from all denominations and nations and yet it’s vastly underserved in most markets. Existing Christian radio and television are almost totally donor supported and of limited quality and appeal. Until now, there has been no way to advertise to this huge hungry demographic group. 4) Marketing, Sales, and Development Strategy GEM is in the development stage. Our plan includes the following milestones: 

We will use experts in viral marketing, mass mail and email and SEO along with one of the world’s top Google optimizing ad companies.  Build out the hub adding on-going fresh content, affiliate partners, advertising programs, merchandising, new profit centers and strategic alliances with corporations and other institutions. Affiliated churches can stream worship and events on GEM and advertise GEM Specials in weekly bulletin inserts. We project break-even for GEM during year two. The Company is currently seeking $3,000,000 to complete their build out and generate sufficient operating and marketing capital for the first three years of operations. Because of the quick profit potential of GEM, we may never need additional capital. We are offering a 20% stake in the company in Series A preferred stock. 6) Exit Strategy. GEM will incorporate as a C Corp. The first exit strategy is acquisition or JV by a strategic corporation, hedge fund or private equity firm. In Newark/New Jersey he doubled the annual turnover in his the first year as GM. Mr. Lynch pioneered black radio in the US and sold it to advertisers. He later parlayed started an oil company that grew to a valuation of over eighty million dollars. His degree is in Business. Betsy McCormack – Sports Marketing: Early in her career, Betsy became the world’s top-ranked female junior tennis player in 1973. For the next 20 years, she competed on Women’s Tennis Association and Virginia Slims circuits, winning 25 world doubles titles, including two Grand Slams. Sommerville is Chairman and CEO of Four Kings Gaming. He is responsible for executive leadership, finding new acquisition candidates, managing M&A activity and strategic planning. Mr Sommerville is also the Chairman and CEO of Concordis Group, Inc., a publicly traded captive insurance company and founded First Capital Partners, a boutique investment banking company. Under his leadership, First Capital Partners has grown from a small consulting business in 1996 to a full-service investment banking firm focusing on mid-market opportunities. He has over 15 years of private equity and corporate finance experience. He has worked with 300+ clients, raised over $45 million in capital funds, was the lead team member in taking 5 companies public and brokered 10 M&A transactions. Mr Sommerville also founded Heartland, Inc., a diversified holding company. He was the Chairman and CEO before bringing on its current CEO in 2007.
